Introduction

These Terms & Conditions ("Terms") govern your use of the Servi platform and related services operated by Atlagrid Corporation ("we," "our," or "us"). By using our services, including our messaging programs, you agree to these Terms. If you do not agree, please do not use our services.

Service Description

Servi is a virtual back-office assistant for small trades businesses. Our platform handles incoming calls, captures leads, manages customer communications, researches permits and properties, and assists with administrative tasks on your behalf. Messages may be sent via SMS, WhatsApp, email, or phone call based on your preferences and account configuration.

AI-Powered Services & Call Recording

Servi uses artificial intelligence to answer calls, process messages, generate documents, and perform tasks on your behalf. By using our services, you acknowledge and agree that:

• Incoming calls to your business line are answered by an AI-powered assistant and may be recorded and transcribed
• Call recordings, transcripts, and extracted information (such as caller name, phone number, and details discussed) are stored and processed to provide our services
• Voice messages received via WhatsApp or other channels may be transcribed using AI
• AI models are used to summarize calls, generate documents, research information, and assist with business tasks
• AI-generated content (quotes, reports, summaries) should be reviewed by you before being relied upon — we do not guarantee the accuracy of AI outputs

You are responsible for informing your own customers and contacts that calls may be answered and recorded by an AI assistant acting on your behalf, to the extent required by applicable law in your jurisdiction.

Third-Party Service Providers

We rely on third-party service providers to deliver our platform. Your data may be transmitted to, processed by, or stored with these providers as necessary to operate the service. Key providers include:

• Bland AI — AI voice agent for answering and making phone calls; processes call audio, transcripts, and caller information
• Twilio — SMS and WhatsApp message delivery; processes phone numbers and message content
• Meta (WhatsApp Business) — WhatsApp messaging channel; processes phone numbers and message content per Meta's data policies
• Amazon Web Services (Bedrock) — AI model hosting for document generation, call summarization, and business intelligence tasks; processes conversation data and business documents
• SendGrid — Email delivery for call summaries and notifications
• OpenAI (Whisper) — Voice-to-text transcription for audio messages
• Auth0 — Authentication and identity management for portal access
• Calendly — Demo and meeting scheduling

These providers operate under their own terms of service and privacy policies. We select providers that maintain appropriate security standards, but we are not responsible for their independent data practices. By using Servi, you consent to your data being processed by these providers as described in our Privacy Policy.

SMS/MMS Messaging Terms

Business Owners

Business owners opt in to receive SMS notifications when they sign up for the Servi service and provide their phone number during onboarding. By creating an account and configuring your business phone line to use Servi's AI call answering service, you explicitly agree to receive SMS notifications summarizing incoming business calls, forwarded messages from your callers, and links to documents prepared on your behalf. Consent is collected during account setup. Message frequency varies based on your business activity. Message and data rates may apply.

Callers

When a customer calls a business owner's phone line, our AI assistant verbally informs the caller that they may receive a text message summary of the call for their records. By continuing the call after this disclosure, the caller provides verbal consent to receive a single follow-up SMS containing a recap of the conversation and any relevant next steps. These are one-time, transactional messages — not recurring.

Opt-Out

You can cancel the SMS service at any time. Just text "STOP" to the number from which you are receiving messages. After you send the message "STOP" to us, we will send you a confirmation message. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending messages to you again.

Message & Data Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Carrier Liability

Carriers are not liable for delayed or undelivered messages. We are not responsible for any delays, failures in delivery, or any other issues related to the transmission or receipt of text messages. Delivery of text messages is subject to effective transmission by your mobile carrier.

Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the accuracy of the information you provide to us, including your business details and contact information.

You agree not to use the services to send spam, unsolicited messages, or any content that violates applicable laws or regulations.

You are responsible for ensuring that your use of Servi complies with all applicable laws in your jurisdiction, including but not limited to call recording consent laws, data protection regulations, and telemarketing rules.

Your Content & Data

You retain ownership of all documents, data, and content you provide to us. By uploading content to Servi, you grant us a limited, non-exclusive license to use, process, and store that content solely for the purpose of providing and improving our services to you.

You represent that you have the right to share any content you upload and that it does not infringe on any third party's rights. You are solely responsible for the accuracy and legality of documents generated using your templates and pricing data.

Marketing & Publicity

We may feature your business name and logo on our website and marketing materials (for example, as part of a customer list or case study). If you would prefer not to be included, let us know at any time by emailing [email protected] and we will promptly remove your business from our marketing materials.

Intellectual Property

The Servi platform, including its design, features, and content, is owned by Atlagrid Corporation and protected by intellectual property laws. You retain ownership of any documents, data, or content you provide to us through the service.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated content will be accurate, complete, or error-free, or that the service will be uninterrupted or secure. AI outputs, including call summaries, generated documents, and research results, are provided as drafts for your review and should not be treated as professional advice.

Limitation of Liability

To the fullest extent permitted by law, Atlagrid Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

Without limiting the foregoing, we shall not be liable for any damages arising from: (a) inaccuracies in AI-generated content, including quotes, reports, or call summaries; (b) actions taken by third-party service providers; (c) loss or corruption of data; (d) unauthorized access to your account due to your failure to safeguard credentials; or (e) interruptions in service caused by factors outside our reasonable control.

Indemnification

You agree to indemnify, defend, and hold harmless Atlagrid Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you provide through the service.

Account Termination

We may suspend or terminate your access to the services at any time, with or without cause, upon reasonable notice. You may cancel your account at any time by contacting us at [email protected].

Upon termination, your right to use the services will cease immediately. We will retain your data for a reasonable period to allow you to retrieve it, after which it will be deleted in accordance with our Privacy Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Harris County, Texas.

Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.
